Terms and Conditions (AGB)

§ 1 Scope

These terms apply to all orders placed with Armen Sarkisian (“we”) through this website. Our services are offered exclusively to businesses within the meaning of § 14 BGB, in particular corporations and their managing directors acting on the company’s behalf.

§ 2 Services

We submit the finished annual accounts provided by the client to the Unternehmensregister via the Publikations-Plattform on the company’s behalf (publication or deposit under §§ 325, 326 HGB) and forward the platform’s confirmation to the client. We file within 48 hours after receiving both the payment and the complete file, provided the platform is available.

Not included: preparing, checking, changing or converting annual accounts, tax advice, legal advice, and representation before the Bundesamt für Justiz or courts.

§ 3 Client obligations

The client provides adopted annual accounts, approved for disclosure, in a format accepted by the platform and is responsible for their content and completeness. The client confirms being authorised to act for and instruct on behalf of the company and provides truthful information.

§ 4 Conclusion of contract

Submitting the form is a non-binding request for the filing. We reply by email with an offer and the payment details. The contract is concluded when the client accepts this offer, at the latest upon payment.

§ 5 Price and payment

The price is 149 € per set of annual accounts, payable in advance upon receipt of our invoice. We are not established in Germany. The price is a net price: the client, as the recipient of the service, owes German VAT under the reverse-charge rule (Steuerschuldnerschaft des Leistungsempfängers, § 13b UStG); our invoice shows no VAT. This also applies if the client is a small business under § 19 UStG. The Unternehmensregister fee for filing the accounts is included in the price and advanced by us (18.50 € for micro-entities, 25.00 € for small companies — items 1420 and 1421 of the schedule of costs under the JVKostG). Not included are the register's annual fee (3.00 € or 6.00 €, items 1410 and 1411), which the register charges the company directly, and the platform's conversion charges for scanned or unusually long documents. We tell you those charges before filing and only file once you agree.

§ 6 No promise regarding fine procedures

Filing prevents further fines but does not cancel a fine that has already been set. We have no influence on decisions of the Bundesamt für Justiz or the Unternehmensregister. If the platform rejects the documents for reasons lying in the documents, we inform the client without delay.

§ 7 Cancellation and refunds

Until we file, the client may cancel the order at any time by email to gmbh@vitersoft.com; the price is refunded in full. If the client does not provide the file within 30 days after payment, we may end the order with a full refund.

§ 8 Liability

We are liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence we are liable only for breaches of essential contractual obligations, limited to the damage typically foreseeable for this type of contract. We are not liable for consequences of documents provided late or incomplete.

§ 9 Data protection

Our Privacy Policy applies.

§ 10 Final provisions

German law applies. For merchants and legal entities, the place of jurisdiction is our registered seat. Should a provision be invalid, the remainder of the contract stays valid. The German version of these terms is binding.
