What exactly do you do?

You send us the finished annual accounts (PDF or XML from your accountant). We submit them to the Unternehmensregister via the Publikations-Plattform on your company's behalf within 48 hours after receiving the file, and forward you the platform's confirmation. We do not prepare or change accounts and give no accounting, tax or legal advice.

Which companies have to file — and what does a micro company file?

Every GmbH and UG (haftungsbeschränkt) must disclose its annual accounts no later than 12 months after the end of the financial year (§ 325 HGB). Micro companies (Kleinstkapitalgesellschaften, § 267a HGB) may instead deposit only the balance sheet (Hinterlegung, § 326 (2) HGB). It is then not publicly searchable; third parties can only request a copy.

What happens if the deadline is missed?

The Bundesamt für Justiz opens an Ordnungsgeldverfahren (§ 335 HGB). You receive a notice threatening a fine of at least 2,500 € and have 6 weeks to file or object. A procedural fee (currently 100 € plus 3.50 € postage) is charged even if you file within these 6 weeks. If you file after the 6 weeks but before the fine is set, it is reduced to 500 € for micro companies and 1,000 € for small companies. The maximum is 25,000 €, and the procedure is repeated until the accounts are filed.

Does filing cancel a fine I have already received?

No. Filing stops further fines, but a fine that has already been set remains due. If you have received a letter from the BfJ, follow the instructions in it — we cannot represent you in the procedure.

What do you need from me?

The company name and register number, the financial year, the balance sheet file (or your accountant's email so we can request it) and your confirmation that you may act for the company.

What happens to my file and data?

Files are kept in a private storage in the EU and are only reachable through time-limited links. We delete the file 30 days after sending you the confirmation, and files of unpaid orders after 90 days. Contact details are deleted 12 months after the order is completed.
